Warranties do not cover damage resulting from misuse, unauthorized modifications, inadequate maintenance, or circumstances beyond our control. Warranty claims must be reported promptly in writing.

8. Limitation of Liability

To the maximum extent permitted by law, ASHRAF ELECTRICAL SERVICES INC shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from our services or this agreement. Our total liability shall not exceed the amount paid for the specific services giving rise to the claim.

This limitation does not apply to damages resulting from gross negligence, willful misconduct, or violations of applicable law.

9. Insurance and Indemnification

We maintain appropriate insurance coverage including general liability and professional liability insurance. Clients agree to indemnify and hold harmless ASHRAF ELECTRICAL SERVICES INC from claims arising from client-provided information, specifications, or instructions.

10. Intellectual Property

All designs, plans, specifications, and other intellectual property created by ASHRAF ELECTRICAL SERVICES INC remain our property unless otherwise agreed in writing. Clients receive a license to use deliverables for their intended purpose but may not reproduce or distribute them without permission.

11. Confidentiality

We respect the confidentiality of client information and will not disclose proprietary or sensitive information to third parties except as necessary to perform services or as required by law. Both parties agree to maintain confidentiality of information marked as confidential or reasonably understood to be confidential.

12. Safety and Compliance

All work is performed in compliance with applicable electrical codes, building codes, safety regulations, and industry standards. We maintain all necessary licenses, certifications, and permits required for our services.

13. Force Majeure

Neither party shall be liable for delays or failures in performance resulting from circumstances beyond their reasonable control, including natural disasters, acts of government, labor disputes, material shortages, or other force majeure events.

14. Termination

14.1 Termination by Client

Clients may terminate services by providing written notice. Client shall be responsible for payment of all work completed and costs incurred up to the termination date, plus any applicable termination fees specified in the service agreement.

14.2 Termination by Company

We reserve the right to terminate services for non-payment, breach of agreement, unsafe conditions, or other material violations of these terms. We will provide reasonable notice when possible.

15. Dispute Resolution

15.1 Negotiation

In the event of any dispute, both parties agree to first attempt resolution through good faith negotiation.

15.2 Mediation and Arbitration
